Terms and Conditions

These terms of delivery apply to direct business transactions with the Stahl-Contor AG. When using the online shop, the Online Terms & Conditions of metal4you (in German) apply.

Offer: Any and all offered statements and prices shall remain unbinding until we have confirmed the order.

Prices: Price basis and value added tax costs as agreed upon. Unforeseeable increases in ex-factory prices such as alloy and scrap surcharges, taxes, customs duties or other statutory charges, transportation costs, insurance premiums etc. shall be borne by the purchaser.

Written Form: Any and all arrangements shall only be valid if confirmed by us in writing.

Delivery: Ex supplying factory or ex warehouse at our option. In the event of any breakdowns at our supplying factory or disruptions in transit, official measures as well as other delays for reasons which are beyond our control, we shall be entitled to either extend the delivery period or to withdraw from the contract. Any and all claims for damages arising from this shall be excluded.

Complaints: The purchaser shall be obliged to inspect the deliveries immediately after receipt of the goods and to inform us about any obvious defects within 8 days after receipt of the goods in writing by indicating the heat number. Hidden defects must be reported to us immediately after discovery of such in writing by indicating the heat number. In principle, we shall replace the goods if our supplier has acknowledged the material to be defective. However, we shall reserve the right to take back the goods without replacement and to credit the purchase price to the purchaser. Any further claims shall be excluded.

EN Standards: To the extent to which they may be applicable, the respective EN standards for the nature of the goods, dimensional and quantity tolerances etc. shall apply.

Packaging: The packaging costs shall be borne by the purchaser.

Payment: In principle, our invoices must be paid within 30 days of the invoice date without any discount net. In the event of delayed payment, the purchaser must also pay interest for delay which amounts to 5 %. In the event of delayed delivery, the purchaser shall not be entitled to suspend payment. In the event of delayed payment, we shall be entitled to suspend the delivery under any and all contracts concluded with the purchaser or to withdraw from any and all contracts concluded with the purchaser. The damage resulting from this shall be borne by the purchaser.

Reservation of Title: The supplier shall remain the owner of any and all of its deliveries until payment has been received in full. The purchaser shall be obliged to support any measures which are required to protect the property of the supplier. On conclusion of the contract, the purchaser shall authorise the supplier in particular to register or reserve the reservation of title at the cost of the purchaser in public registers, books or the like in accordance with the respective national laws and to comply with any and all formalities in this respect.

Applicable Law and Place of Jurisdiction: Only Swiss substantive law shall be applicable and the Vienna Sales Convention (United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980) shall be excluded. For any and all disputes, the exclusive place of jurisdiction shall be the courts of law in Zurich.

Consultation: Stahl-Contor AG shall guarantee the flawless quality of its products as agreed upon. However, Stahl-Contor shall not be liable for the usability and suitability of its products with respect to the projects of the customers. Such evaluation lies in the responsibility of the customer.
